Problems in Research in M&A in India

This article I have written out of my own experience

* The CMIE prowess database is considered most reliable database. But this database need some modifications. This do not keep data on the country of acquirer and target firm.
* M&A as such is few in India compared to other countries. So performance evaluation studies specifically financial pre and post m&A is difficult since nonavailability of continuous data.
*In Prowess , it is not mentioned about the method of payment of deal in detail. So whether a particular deal is  cash deal or stock deal, is difficult to know, specifically when there is combination of both the methods. we have search in individual deal in google search engine.
*There is no mention if with merger, the acquirer company name exist, or target company name exist or a new name is present. It would help to know which type of merger deals are done.
*There should be another section of demerger list in prowess. However, ACE database have such data. But again ACE database, data when stored in excel, it is unable to be copied for data analysis.
*Sometimes some deals are completed, which are not updated in prowess, quickly.
*The company names changes within few months, so researchers have to track each time which company name has changed to what. The solution to this is save the company name along with the company BSE script code or ISIN code, so that it would be used for different database. different database have different way of writing the company name. The same company name would appear in different ways in prowess database, Capitoline database and ACE database.
*In merger cases, since the target company ceases to exist, so there financial data is unavailable  so there is a need to know after merger, which company exist.
*Sometimes questionnaire method also do not help fully, since the respondents take time to reply and if they reply it would be a copy and paste matter. so the researcher have to check if the respondent have given  reply from own experience or not.

Prowess database..basic steps to use

Prowess is the reliable database in india to get company information. I thought to share the basic steps so that it would help the beginners.
I will show some basic steps that would help beginners to use the prowess for data collection. any more queries , you can post in comment, i will update the article as per your queries.
step 1click on prowess database and run the program to open prowess
 step-2 It would ask for username and password.
 step3 The figure shows the prowess window when it open up
 step 4 The option in left hand corner SELECT COMPANIES IN PRE-DEFINED SETS. help you to classify set as per your requirement. It classifies companies into non financial and financial companies. you can choose the companies as per your need. There is sub classifications of the companies in different industries too like in non and beverage industry companies.

The red arrow shows the list of industries. you can click on the left side rectangle box for the industry you want to select and then run. To run you have three otions which have been marked in ricght hand corner of the figure below in blue(add to current), green ( send to new osc), orange.(replace current osc). 
(a)If you already have a company set and you want to add few more companies in it-use BLUE arrow option(add to current)
(b)If you want a new set of companies, use GREEN arrow option.( send to new osc)
(c)If you want to replace the existing set of companies with new lsit of companies . use ORANGE arrow option (replace current osc). 
then it would give an a output sheet like below in figure . say i have run for food and beverage companies and i found 1660 food and beverage companies. see the blue arrow. the sheet is indicated with a blue circle market which represent this is the "active output sheet/current sheet" on which you can work now. see the red arrow, it shows the OUTPUT SHEET option. This option you can use whenever you wnat to look into the output sheet.

now you can save the file in prowess, so that next time you open your prowess, you wont have to run the program again for same kind of set. you can ust open the saved output sheet as you have worked earlier. to save the file use the option indicated in green arrow. It will ask for a file name as indicated in red arrow. after gving a file name you click on SAVE option as indicated in blue arrow. The yellow arrow shows a yellow box which if clicked will help you in making a new folder to save your files as per your customized needs.

now the file is saved. This file is saved in prowess program userset folder. you can see it by folowing way-
Go START menu
so you can copy those files and can save in other computer in same process in same place and can use in other computers too. you don't have to run program again if you change your computer system or laptop. from this place also you can send your datasets to other persons doing work on same data sets.

or you can simply save in excel by copy and paste the companies list.

always use the cross symbol (CLEAR ALL option) indicated by red arrow to clear any list from the predefined industry that you clicked earlier in the rectangle box, so that running the program, it wont take both the clicked item

next, suppose from those food and beverage companies-i want it to filter for more criteria.for example listed food and beverage companies, then use LISTED AND PERMITTED COMPANIES option as indicated on red arrow below one. then clcik on COMPANIES IN CURRENT OSC as indicated in green arrow. then click on RETAIN MATCHED COMPANIES IN OSC option as indicated in blue arrow. , you will get listed food and beverage companies. 

see i have used CLEAR ALL OPTION (x) before i clicked on LISTED AND PERMITTED COMPANIES option , so there is so click on FOOD AND BEVERAGE industry option. thus it would not again take same companies again, rather reduce to only listed food and beverage companies.

you can also use REMOVE FROM OSC OPTION as given in right hand corner below, so that it would removed listed food companies from your food and beverage companies set.

you can use your usersets, which would look like the figure below as indicated by the red arrow. you can create so many sets as per your needs , name name and use as many times you need. Just click on the rectabgle box near the set which u need and run SEND TO NEED OSC  as discussed earlier.

Save Me to Save You

I am Life. You may call me Power, Energy, water, fuel . If I am with all life becomes heaven, if i am not present then life becomes hell. Well , people can see hell before their death.  Few things I don't  understand about human. They know I am important, but still, when it comes to their own life, they misuse me. They forward mails, share in facebook and other social networking sites , debate on me , write essays on me and on my importance, but they themselves don't use me rationally. Since I exist in different names, I see myself being destroyed by them, I could not say them anything. But if my tolerance level finish, I will show my value and then that time, nothing can help. 
In morning i see , they open the tap while brushing their teeth and they run the tap. I flow and then I am lost. They dont relaise that myself , water is essential and pure water is so much nessary for their life. If I wont exist, then, they will fall ill

Recently the movie Heroine was released and myself with my friends watched the movie. Well it was basically an actress life story. I found the movie quite interesting as I felt it revolves around the charector's choice between LOVE AND FAME. There is always a war in mind to choose between LOVE AND FAME. LOVE OF FAME chosen by those who want to live in many hearts and FAME OF LOVE is the glory to live in heart of a single person. 

Well if we talk about fame and love, then I feel two things are difficult to be together. I don't say, it wont come. But very very difficult to get it together. I am not in for or against of love and fame. But I can say is fame sometimes makes you alone, but love never makes you alone even if you is not with you. When fame is away from you, the past memories will only ruin you, torture you every moment and even torment you. But memories of love reminds you of good days, good memories and happiness in heart that we are in someone's heart and will remain forever unlike in world of name of fame the same people who praised you so high, will criticize you to bring you down. This is what shown in the movie as per my views. 

In the world of glamour, name, fame, beauty , money  Mahi (heroine) searches for true love. Being attached in love with lots of expectations, she forgets that earlier she had came here for fame. She sacrified awards , even sometimes listened the rebukes for her love. But one day she lost her love . Then she again ran after the fame and used someone's love as a step towards the success. The reason for which she was hurt, she did the same to another person- No commitments. She then lost her fame and love as she could not control her emotions. Well destiny have played a dual role in her life. Sometimes destiny gave her chance to welcome fame and love, sometimes destiny made her to lose both of them. In both the cases she lost at the end. Neither fame could make her happy nor do true love would stay long with her. As the dialogue goes in the movie---- Jab fame milta hai toh pyar chaiye hota hai, jab pyar milta hai toh fame chaiye hota hai heroine ko

What i wanted to say here is, whatever goal one want to achieve in life, one should be very much sure about it. Each path will have different good and bad things in its basket. So before deciding anything, one should be aware about it and ready to face it. once goals are set, moves are made towards it, just one has to move ahead. If two things are kept in mind, then life would be like keeping legs in two boats and finally reaching to death. 

FAME OR LOVE ..choice is yours after-all.So enjoy whatever you chose for you.

Odisha: Memories Recollected

When I thought to pen down something for the Kalinga Samaj e-magazine, I was puzzled while selecting a topic, because many years have passed, I would have written anything in odia. Then I  remembered about my school days and my odia lessons. I just could not just control myself to stop laughing for number of incidents relating to my subject odia in my school days- our odia teacher, the handwritings, the essay competitions, the odia idioms, story writing assignments, punishments, examinations days, daddy’s practise sessions and lots more. Childhood days are amazing in classroom, but a little tough for an English medium student in the odia class. With time, the love for the mother tongue grows, the tough subject seems a treasure to the heart and life.
No one in this world, who are born and brought up in Odisha, would have forgotten the childhood day’s lullaby sang by their mother. Every night before we sleep, we hear “aa janha mamun sarada shashi; mo kahnu hatha re padhe tu khasi; mo khanu tate kariba gela; khaibaku daba labani sara; khaiki tu hoibu khusi” from our mother. Sometimes we ask our mother to sing for us, “dho re baiya dho jeun kiari re gahala mandia sei kiyari re so” or “aa aa re bai chadhei; to maa jaichi gai charei; gahira bila ru aniba bela; kole basei kariba gela” to be little more pampered and loved by her. Even though, we are taught various rhymes, like twinkle twinkle little star, humpty dumpy sat on a wall, pussy pussy little cat, one two three buckle my shoe in our schools, we are taught by our mother our favourite odia rhyme “chaka chaka bhaunri mamu ghara chanuri, mamu mate marile main mate dhaile, dhudha bhata kholile, suna pila muhin re, mo parai kehi nahi re”
During examination days, life was like a tug of war for me. Remembering each and every odia lessons was like trial and horror with lots of errors. The percentage of errors was more than the percentage of words in one page of my copy. No class would have gone when I would not have been caned for spelling mistakes. Copy was full of red ink marks than my sentences in odia written by pencil.  But for one reason I loved the odia class was stories. I loved to listen them in the class, even though literary ornamental words went out of my head. During the day before exam, mom would read the stories for me, and I would write my exam. This was the odia exam preparation strategy.
We had an option to choose between hindi or odia from 8th standard. I was very much interested to take hindi as a subjects. But my parents suggested choosing odia, being a mother tongue. That time, I was so much worried if I could even pass the exam. But not only I passed the exam, but came with good marks. Well, I think from that time only I had got some kind of affinity for the subject. I remember, for an essay competition, I practised the same essay for month, every day “Adarsha Chatra Jevana” I won first prize in it. It was really a shocking surprise for me. Thanks to my mother, as she made me a point to love the subject.
I liked the odia idioms very much may be because sentence may be something but meaning different. That time i had memorised all the odia idioms and its meaning, not only for exam but out of interest. Our morning prayer was in English but in home the sandya prathana was in odia taught by mother, the famous one- “ahe dayamay biswa bihari, ghena dayabahi mora guhari”. She taught us each and every line of the song of which i could remember my favourite lines like “mora kamaku karao sarasa, mora mukhe dia chira harasa” or “sata kahibaku kian daribi, sata kahi pache male maribi”or “mote atiki sikhaa sain hai, mora dhana jana loda nahin hai”. How much it is really practised by us is yet to click, but yes, this is how culture and tradition and good values are taught in every single home in Odisha. I love Odisha being the land of culture. I therefore feel, people of Odisha have a kind heart than the other side of the country.
Recollecting how grand maa used to sit and read the odia barnobodha. Don’t remember the exact lines, little blur memories with few lines that are “Aaita ama rosei ghara, eeithi maa besara bate, pariba kate, jai ragade, saga kharade”. It was something related to family, family values, family members. Well written lines, even if life is dominated by domino pizzas or Italian pasatas, charmed by Chinese chowmeins, but what caught to our eye is homemade desi tadka of the odia foods even our Lord Jaganath takes 56 varieties of food then how we can’t be food crazies for odia dishes. Be it the authentic flavours like dalma, badi chura, baigana poda, chungdi poi curry, dahi pakhala or exotic varieties of sweets like chena poda, aarisha pitha, manda pitha so much and so more.
The story behind Konark temple was one my favourite chapter. I don’t remember the exact class in which I have read, and what the chapter name was, but I remember the story and its main characters -the king Langula Narasimha Dev and the chief architect Bishnu Maharana’s 12 year old son Dharmapada, who sacrificed his life for saving the life of twelve thousand craftsmen. The history behind each and every historical monument taught us something. This story must have grown many children to respect their parents and to have brave heart.
Our odia lessons were not limited inside the four walls of our class but pyramid of picnics spots. Being Odisha the centre and heart of culture, it has many places like Puri Jananath temple, Ram Chandi, Konark temple, Lingaraj temple, Dhauli, chillika lake, bhitarakanika national park. All thses makes me feel proud with its historical significance and beauty of nature.  I am proud to born in a state where we had poets like Upendra Bhanja, Sarala Dasa; have sand artist like Sudarshan Pattnaik; have dancer like Krishna Mohan Reddy (Prince Dance Group); had freedom fighter like Veer Surendra Sai, Rama Devi, Sarala Devi, Gopabandhu Das, Madhusudan Das and many more. I am proud that I am a Kalinga Basi. All the memories recollected in mind within few minutes and felt the love for oriya and odisha.

Two small poems i will dedicate to our mother land as below: 

Odisha, Kalinga or Utkal
By whatever name one may call
Inside each Odia love for mother land will always grow
Honour and respect they will continuously show
For the land of temples, cultures, traditions
For the land with Infinite hopes and visions
Let us unite and march together
And prove those who say our state is poor
Let some part of our life be devoted to our mother land
Then among all, in the top we will stand

Rahi thau maa pakhare mana
Odisha kahi munda tekibi munhi
Jou dese pache thaye mun  jai


The life goes on between "with(s) and without(s)"

       A friend of mine once said "If there would have been no bad things in life, then we would not have enjoyed the good things in life, since we would not differentiate between good and bad", so true.   The sweetness of honey can be enjoyed if we have tasted the bitterness of neem, the days of success can be satisfactory if days of hard work is remembered, the importance of love can be felt if gone through days of hatredness, the happy days becomes more pleasure if you felt the painful days of sorrow.
      Who in this world does not want a 'life with WITH(s)'. I mean a life with family, with friends, with love, with success, with good health, with wealth and with happiness. But can this happen always. Will our life be fun, if there is only one face of life? Just imagine earth with either day or either night. How it would be. There is beauty in each phase of things. If the day has its own brightness, then the night has also its own calmness, quietness and charm. Even a doctor makes the newly born baby cry for first time, to confirm the baby is healthy. It is well known that the mother's love and affection is above all and not even god can go ahead of it. This love is created only because a mother carries the baby in her womb tolerating the pain and brings the creation on earth. So, life will be dull and boring if passed through just one side of the coin.
     A person gets sad when someone important, leaves the person alone after being a significant part of life. This might be painful part of life as if days and nights make no difference. Life seems empty. And sometimes without even saying what we are sad for, we forget our pain, by just talking with some persons. Some magical persons with whom we have no expectations, no dreams, no attachment and not even we they are close friends. The magic is we stop to cry and forget we were crying few moments back. Thanks to such people in life.
Sometimes we see the grass being green in everyone's life except ourselves, we grumble at life. But have we ever retrospected the past, the things we desired for, the things we did and the things we really have in our present. Sometimes luck may delay to bestow us what we deserve, but hold on, it will surely return your share. If not, then why to worry if something is not yours.  
Sometimes life goes without good friends and well wishers. Sometimes people surprise you with their actions and behaviours that hurt you, and present you what may not even think of. Is it really worthy to ruin the days with thoughts of mean incidents of such people? So why can’t we think of the good people in your life, who understand you, care for you, and have been with you always. In fact we should always see the positive side of things. Then it would be easy to move on with life.
          Sometimes we complain God, we become sad, we rebuke our destiny, for what we HAVE NOT(S) in our life. We think how our life will go WITHOUT(s) it. But we look back to few pages of our own life history, we will see many chapters of life where life has been miserable that time and now when we look to them, they seemed a small problem rather than a big crisis of life. We rise and fall, we learn and then we move on. This way life goes on. If someone goes from our life, then life brings another someone in our life. This way we balance our happiness and sorrow and the life goes on and goes on.  Then, when it comes to the present days, why we forget that, we have been able to recover from the bad days of life in past. The same ugly days of life will soon turn beautiful again.
       If you have lost your beloved, see you may have some persons who love you. If you lose one year of your career, see the person losing more than one year just because he left exam to save his father life, If you have no higher degree with you, just see who didn't have luck to have basic schooling, if one is a big scientist , see you are no less good singer, painter, writer. See the positive things in life. If you don’t have something in life, just don't cry over spilled milk, rather join every block to build the stair to reach at the place where you really want to go. One more thing, sometimes there would something if life that you love to do and these are things that makes you happy and forget your sorrow. Some people will criticize about it. Don't listen them, they have no right to steal your dreams. Do not even allow them to steal your dreams. If you like something, just go for it.
    Why to shed tears then, as the lovely lines from the song madhon in lamha movie "Kyon dil ko dukhana bevajah, Phir aansoon bahaana ik dafaa". The life goes on between "with(s) and without(s)" We have to live in it. Then, why not to welcome each and everything with open hands and cherish each moment of life.

Friendship is the best thing we can have in our life.  It is not about being physically present always. It is also not only about celebrating happy days together or exchanging gifts. Friendship is all about true feeling for a friend with love and caring, some mutual understanding and time that you give for your friends with no terms and condition apply. 

It is true that a friend in need is a friend in deed. So, do not forget the days when your friends were with you-The days when you laughed, the days when you cried, the days when you were ill and your friend was beside you, the days when your friend listened to your complains, the days when your friend tolerated your anger in silence. Don't forget that your friend was one who fought with the world for you so that no one can hurt you. Don't forget that your friend never saw any time table or watch when you needed them most. The most important thing don't make your friend feel as he/she is the last option. Just don't make friendship because you need a person for help or you are alone. 

Priorities changes, but don't hurt your friend by making the person feel as a stranger in front of the person who is currently important in your life . Just remember in the past your friend was your first priority. There must have been some good nature of your friend that have touched your heart. There must be some reasons  that have kept your bond of friendship so long  and so strong. 

The most funny thing is a true friend may fight with you, but the next moment they don't remember the reason for it. The reason is they love you from heart and they don't fight with with you from heart . You may hurt your best friend, but a simple smile makes them forget what you have done with them. They can't see you upset or sad whatever distance might have occurred between you. A friend makes you smile and knows about you even through unspoken words.

Truly love your friend. This can reflected with your actions, if you can proudly stand beside your friend and say -this is my true friend , a real friend who has been always with me. The only way one can return the debt of friendship is to love more and more. Many people will come and go from your life, but a real friend is a rare friend, so don't forget the friend in your good days as in bad days that same friend will be in front of you even if you hurt them. 

And i am so lucky to have you all as my friends, who have always with me in my good and bad times or my best and worst days and numerous times you all have made me feel happy and blessed All those days of unconditional love and affection are really treasured in my heart and will always blossom in my mind throughout my life. Priorities may change in your and my life but the bond of love, faith trust will never change between you and me my dear friends. Love that you are all in some of my part of life story.

Birthday Boy

9th August every year it comes and each year it goes. What is so special to it. May be there is some history attached to it which is scripted in many history books. But there is another place where the date is important, in the pages of his parents heart. Again not only in these two places,but somewhere else where this date is important, that is in his friend's life, those are in his good books. I am taking about our friend. His birthday date.....

I remember the first year , we celebrated his birthday giving him surprise by calling him in veggies. sachi and me didn0t knew that some unhappy incident happened, so he was upset, but we spend some time together and then 2nd year, his guide gave him a big cake and a cake during the fresher party was brought.

Vartika came to me and asked, if i had wished him or not , actually both of us had forgotten to wish him. Thanks to her for reminding, if we would have opened fb, we would have remembered. but forgive myself, as in Phd  we even forget ourself..... So we thought, in that we should make his birthday for exciting and funny , so that he would remember. but since he was doing fasting, we thought to celebrate the next day. I love seeing people happy and making them feel special, therefore only cake cutting or only gifts wont be exciting, so we thought to make some games, and we did so with some treasure hunt for gifts the next day.  I have always super duper ideas to give people surprises. Vartika and me, were laughing while purchasing the gift since many funny gift ideas were coming to our mind. I suggested to give gifts with the letters of his name but it was difficult the to do so. Vartika made list of gifts with the letters. sometimes O for oil or O for olay was really funny. Then i suggested lets give G for guava, o for orange  as vartika has suggested M for mango... both of us were gone crazy ......we had thought to give him gift after each punishment or game, but our sweet friends Niyati and surabhi ,  added oil to the fire, suggesting let him search his own gifts and let us hide all the gifts. I had painted the letters of his names on the gifts previous night of celebration with my poster colours and experimented some photographs of the gifts in hostel. Saswat had remembered his date and sachi and sasikant became the photographers. samendra became his proxy girlfriend. susant and saibal came bit late but atleast they could came early enough to wish him. vartika selected nice music soothing to ears and most funny was the birthday song which made him laugh.... I called him to by saying that i have some math doubts, but our intellegent goutam he knew that the surpise party was waiting for him...

He was little emotional when we wished him late, saying his parents reminded him about his birthday first  and finally he was happy i feel. The whole celebration went amazing .....

He would kill me for exciting people to give him punches......Be there at research cell at 10am today with full enthusiasm :P  for b day celebration .... aaj goutam ko surprise dete hain ..thoda ragging bhi :P

 now counting the alphabets of his name and number of gifts left

 May be he is healed by the getting the gifts after all the birthday punishments we gave him.

 I have too cook now, bring milk for preparing OATS...u lazy friend, its good for your health.

 I remember few days back he came to me asking for an umbrella as his umbrella was broken or lost. when vartika suggested U for umbrella, I could express a sudden YES and nothing else.

A-Axe effect (For spreading the fragrance of happiness, cheerfulness, love and affection to my friend life)
M-Milk Chocolate (For adding sweetness in all relationships that comes in my friend's life)
Then we made some hang outs at our second home cafe coffee day
 The great guy still keep smiling treating us with some small eats, sweet eats, cake away and more of drinks, even if his ATM broke while making payment....

My food stuff was Choco fantasy my  signature dessert with a sinfully rich chocolate cake mixed with ice cream.sadrita took Vanilla Ice Cream, Double scoops. Double delight, that made her to cheer up the day. Niyati and surabhi with the b day boy took the juices green and red apple juices, that gives surprising taste you can't wait to dig into. Samendra took some kind of sanvich enjoying his slice of heaven. many other food stuffs that would Yum to your palate.

I would like to say you something, your name GOUTAM has amazing words within it GO, GOT, AM, U,TO ,AT ,MAT , GUM, OM, GAMUT, A, MUG, GUT.  As a friend i will like to have look on and think on it and enjoy it.  some meaningful things came from your name like GO- Go enjoy every moment of life without complaining. Funny words can be made from U GOT A OM GAMUT  TO AM AT MAT GUM  MUG GUT. But do u know what was the best letter in your name, it was U. The letter U  as you are our friend and U as the birthday boy....
